Terms of Service

1. Acceptance of Terms

By accessing or using Gradiance at gradiance.io (the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not use the Service.

These Terms, together with our Privacy Policy and Legal Disclaimer, constitute the entire agreement between you and Gradiance regarding the Service.

2. Accounts and Registration

To access the full functionality of the Service, you must create an account using Google OAuth. You are responsible for maintaining the confidentiality of your account and for all activities that occur under your account. You must notify us immediately at hello@gradiancebio.com of any unauthorized use of your account.

You must be at least 13 years of age to create an account and use the Service. By creating an account, you confirm that you meet this age requirement.

You may not create multiple accounts for the purpose of circumventing usage limits or for any other improper purpose.

3. Subscriptions and Payment

Gradiance is available on a free tier and paid subscription tiers (Pro and Team). Paid subscriptions are billed on a monthly cycle via Stripe. All prices are in USD unless otherwise stated.

Automatic Renewal

Your paid subscription automatically renews at the end of each billing cycle at the then-current price unless you cancel prior to the renewal date. We will send a renewal reminder at least 7 days before your billing date.

Cancellation

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period. You will retain access to paid features until that date. We do not issue prorated refunds for the unused portion of a billing cycle, except as required by applicable law.

Free Tier

The free tier is provided “as is” with no guarantees regarding availability, uptime, or support response time. We reserve the right to modify or discontinue the free tier at any time with reasonable notice.

4. Intellectual Property

The Gradiance platform — including its software, algorithms, user interface design, branding, and documentation — is the intellectual property of Gradiance and is protected by copyright, trademark, and other applicable laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service solely for your scientific research purposes.

You may not copy, modify, reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service. You may not use Gradiance's trademarks, logos, or brand elements without our prior written consent.

5. Your Data and Content

You retain full ownership of all data you upload to Gradiance, including experimental datasets, analysis parameters, and any content you create using the Service. By uploading data, you grant us a limited, non-exclusive license to process and store it solely to provide the Service to you. We do not claim ownership of your data or use it for purposes beyond service delivery.

You are responsible for ensuring you have the legal right to upload any data you provide. Do not upload data that is subject to confidentiality obligations, export controls, or other regulatory restrictions without appropriate authorization.

You may export your data and analysis results at any time using the export features available in the platform.

6. Prohibited Uses

You may not use Gradiance to:

  • Make clinical or diagnostic decisions without independent verification by a qualified professional
  • Fabricate, misrepresent, or knowingly publish inaccurate scientific results
  • Circumvent, disable, or interfere with any security measures or access controls
  • Conduct automated scraping, bulk data collection, or stress testing of the platform
  • Upload Protected Health Information (PHI) without a signed HIPAA Business Associate Agreement with Gradiance
  • Engage in any activity that violates applicable federal, state, or international laws or regulations
  • Impersonate another person or misrepresent your affiliation

7. Scientific Accuracy and Verification

Gradiance employs validated statistical algorithms — including Levenberg-Marquardt nonlinear regression, ROUT outlier detection, and bootstrap confidence interval estimation — to generate analysis results. The platform also uses AI-assisted interpretation to help you understand your data.

Gradiance is a research tool. It is not a certified medical device, a regulatory-grade analytical instrument, or a substitute for independent scientific review. You are solely responsible for independently verifying all results before relying on them for publication, regulatory submissions, grant applications, or any other consequential decisions.

The AI-assisted components of the platform may produce outputs that require human review and scientific judgment. We encourage you to review exported Python scripts and numerical outputs against your own expectations and domain expertise.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THAT THE RESULTS PRODUCED BY THE SERVICE WILL BE ACCURATE OR RELIABLE FOR ANY PARTICULAR PURPOSE.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, GRADIANCE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, REPUTATION, OR GOODWILL — ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total aggregate liability to you for any claims arising under these Terms shall not exceed the total amount paid by you to Gradiance in the twelve (12) calendar months immediately preceding the event giving rise to the claim. If you have not made any payments (e.g., you use the free tier), our liability is limited to $100.

10. Indemnification

You agree to indemnify, defend, and hold harmless Gradiance and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service in violation of these Terms; (b) any data you upload; or (c) your infringement of any third-party intellectual property rights.

11. Termination

You may terminate your account at any time by contacting us or through your account settings. We may terminate or suspend your account immediately if you materially breach these Terms or engage in prohibited conduct.

Upon termination, your right to use the Service ceases. We will retain your data for 30 days after termination to allow for export, after which it will be permanently deleted — unless earlier deletion is requested or retention is required by applicable law.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-law principles. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Philadelphia, Pennsylvania.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you via email at least 14 days before the new Terms take effect and post the updated Terms on this page with a revised “Last updated” date.

Your continued use of the Service after the effective date of updated Terms constitutes your acceptance of those Terms. If you do not agree to the changes, you must discontinue use of the Service before the effective date.
